The Talvi Terms of Service.

These Terms of Service govern access to and use of Talvi's applications, websites, APIs, and related services.

By accessing or using Talvi, you agree to these Terms.

If you do not agree, do not use the platform.

Talvi provides software and operational tools for:

• Property management
• Resident communication
• Leasing and applications
• Rent payments
• Maintenance workflows
• Document management
• E-signatures
• Building operations
• Reporting and analytics
• Resident engagement

Talvi acts solely as a software platform and is not:

• a landlord,
• property owner,
• escrow provider,
• bank,
• financial institution,
• attorney,
• or licensed property manager.

Users may create accounts as:

• Residents
• Applicants
• Property managers
• Landlords
• Vendors
• Administrators

Users are responsible for:

• Maintaining account security
• Protecting credentials
• Accuracy of information
• Activity occurring under their accounts

Talvi may suspend or terminate accounts for violations of these Terms.

Rent payments, deposits, fees, and related transactions may be processed through third-party providers such as Stripe.

Talvi does not directly hold customer funds unless explicitly stated otherwise.

Users acknowledge:

• Payment processing may be subject to third-party terms
• Transaction delays may occur
• Failed payments may result in fees or penalties imposed by property managers

Talvi is not responsible for disputes between residents and property managers regarding rent obligations.

Talvi may facilitate rental applications, tenant screening, identity verification, and income or financial-eligibility verification through third-party providers.

Talvi does not guarantee:

• approval decisions,
• screening, verification, or income-verification outcomes,
• property availability,
• or lease offers.

Tenant screening that produces a consumer report (for example, credit or background checks performed through a consumer reporting agency) is governed by the Fair Credit Reporting Act (FCRA) and applicable law. Where an adverse decision is based on such a report, the property manager is responsible for providing any legally required adverse action notices.

Property managers remain solely responsible for applicant decisions.

To protect the platform and comply with applicable law, Talvi uses identity-verification, anti-fraud, and sanctions-screening services provided by Plaid Inc. (“Plaid”). These services may include Plaid Identity Verification, document verification, selfie/liveness checks, an anti-fraud risk engine, and Plaid Monitor (anti-money-laundering and watchlist screening).

In connection with these services, you may be asked to provide, and you consent to Talvi and Plaid (acting as Talvi's service provider and subprocessor) collecting and processing, personal information such as your:

• name, date of birth, and residential address,
• phone number and email address,
• government-issued identification documents and images,
• a photograph or video of yourself (e.g., a selfie) and related liveness data,
• and device, network, and behavioral signals used to assess fraud risk.

Sanctions & OFAC. Talvi screens users, applicants, organizations, and their principals against U.S. Office of Foreign Assets Control (OFAC) lists — including the Specially Designated Nationals and Blocked Persons (SDN) List — and other sanctions, watchlist, and politically-exposed-person (PEP) sources. You represent and warrant that you are not, and are not acting on behalf of any person who is, the target of U.S. or other applicable sanctions or named on any such list.

Talvi may delay, deny, suspend, or terminate access — and may decline to process payments, payouts, or other transactions — if your identity cannot be verified, you fail or cannot complete screening, or a screening match cannot be resolved.

The “autofill” functionality of the identity-verification services may only be used by users located in the United States.

Identity-verification and sanctions-screening results are signals; Talvi and property managers make their own decisions. You acknowledge that these services and the data they produce are not a “consumer report,” and will not be used as a “consumer report,” under the FCRA.

Some features rely on data and services that Talvi accesses through Plaid as a Plaid partner. When you use those features, the following terms apply in addition to these Terms. Property managers and other business customers (“Customers”) further agree to pass equivalent terms through to their own users.

You will not, and will not enable or assist any third party to: (a) reverse engineer, decompile, disassemble, or attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of the Plaid services or the data Plaid provides (“Plaid Services” and “Plaid-Provided Data”); (b) modify, translate, or create derivative works based on the Plaid Services; (c) make the Plaid Services or Plaid-Provided Data available to, or use them for the benefit of, anyone other than yourself as permitted here; (d) sell, resell, license, sublicense, distribute, rent, or lease the Plaid Services or Plaid-Provided Data, or include them in a service bureau, time-sharing, or equivalent offering; (e) publicly disclose information about the performance of the Plaid Services or Plaid-Provided Data; or (f) create a substitute or similar service through use of, or access to, the Plaid Services or Plaid-Provided Data.

You will use the Plaid Services and Plaid-Provided Data only in compliance with these Terms, the Plaid developer policy and end-user privacy policy (available at plaid.com/legal), Plaid's documentation, and applicable law, and you accept responsibility for your activities involving the Plaid Services, Plaid-Provided Data, and any end-user data.

Financial account & income data. Where you link a financial account or use income- or asset-verification features, you authorize Talvi and Plaid to access account, balance, transaction, asset, and income information from your financial institution (“FI”) solely through the FI's authorized interfaces and only for the use case you consented to. You will not “screen scrape” FI data or share account log-in credentials for that purpose. FI data will not be sold, and will be used, shared, and deleted in accordance with your consent and applicable law.

FCRA & GLBA. You acknowledge that Plaid is neither a “consumer reporting agency” nor a “furnisher” under the FCRA, and that Plaid-Provided Data and identity-verification data are not “consumer reports” under the FCRA; you will not use them as, or as part of, a consumer report. Use of the identity-verification services will be limited to purposes permitted under Section 6802(e) of the Gramm-Leach-Bliley Act (GLBA).

Plaid is an intended third-party beneficiary of the provisions of these Terms relating to the Plaid Services and Plaid-Provided Data and may enforce them directly. The Plaid Services and Plaid-Provided Data are provided “as is,” without warranties of any kind, and neither Plaid nor its affiliates, suppliers, licensors, or data sources is liable for the accuracy, timeliness, completeness, or availability of any data. Plaid and applicable financial institutions may suspend access where reasonably necessary for legal, security, or risk reasons, and continued access to certain financial-institution data may require Talvi to update these provider terms — continued use after such an update constitutes acceptance.

Talvi may provide electronic document and signature functionality.

By using Talvi's e-signature features, users consent to:

• conducting business electronically,
• receiving electronic records,
• and using electronic signatures.

Users agree electronic signatures are legally binding to the fullest extent permitted by law.

Users are responsible for reviewing documents before signing.

Users may upload content including:

• documents,
• photos,
• messages,
• maintenance requests,
• listings,
• and related materials.

Users retain ownership of their content but grant Talvi a license to:

• host,
• process,
• store,
• display,
• and transmit content as necessary to operate the platform.

Users may not upload:

• illegal content,
• fraudulent content,
• malware,
• abusive material,
• or infringing material.

Users may not:

• Use Talvi for unlawful purposes
• Commit fraud or impersonation
• Interfere with platform operations
• Reverse engineer the platform
• Circumvent security measures
• Upload malicious software
• Abuse payment systems
• Harass other users
• Create fraudulent listings or organizations

Talvi may investigate and remove accounts involved in prohibited activity.

Talvi integrates with third-party providers, including Stripe (payments and bank linking), Plaid (identity verification, anti-fraud, sanctions/AML screening, and income or asset verification), e-signature providers, tenant-screening providers, communications providers, and mapping providers.

Talvi is not responsible for:

• third-party downtime,
• third-party security,
• external integrations,
• or actions of third-party providers.

Use of integrated services may be subject to separate terms.

Talvi and its associated branding, software, interfaces, and content are protected by intellectual property laws.

Users may not copy, reproduce, distribute, or exploit Talvi without authorization.

Talvi does not guarantee uninterrupted availability.

Maintenance, outages, updates, or third-party failures may temporarily impact functionality.

Talvi is provided on an “as is” and “as available” basis.

Talvi disclaims warranties including:

• merchantability,
• fitness for a particular purpose,
• non-infringement,
• and uninterrupted operation.

Talvi does not guarantee:

• payment collection,
• resident behavior,
• property performance,
• or legal compliance by users.

To the maximum extent permitted by law, Talvi shall not be liable for:

• indirect damages,
• lost profits,
• data loss,
• business interruption,
• or consequential damages.

Talvi's total liability shall not exceed amounts paid to Talvi during the prior 12 months.

Users agree to indemnify and hold harmless Talvi and its affiliates from claims arising from:

• misuse of the platform,
• violations of law,
• uploaded content,
• or breaches of these Terms.

Talvi may suspend or terminate access at any time for:

• violations of these Terms,
• fraud,
• abuse,
• or operational/security concerns.

Users may discontinue use at any time.

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

Talvi sends operational notifications (for example: rent reminders, payment receipts, maintenance updates, announcements, and security alerts) by email, in-app notification, and text message (SMS), using providers such as Twilio (SMS) and SendGrid (email).

Residents. Talvi sends you text messages and other notifications only for the categories you have enabled in your notification settings. You may turn any category on or off at any time in those settings. Enabling a text-message (SMS) category, together with providing your mobile number, constitutes your consent to receive automated text messages from Talvi for that category.

Organizations. For property-management organizations and their team members, consent to receive notifications and text messages is managed at the organization level. By enabling notification or SMS categories for an organization, the administrator doing so represents that they are authorized to consent on the organization's behalf and that the organization has obtained any consents required from its own personnel.

Message frequency varies based on your activity and settings. Message and data rates may apply. You can opt out of text messages at any time by disabling the relevant category in your settings or by replying STOP to any text; reply HELP for help. Opting out of text messages does not affect email or in-app notifications, which are governed separately by your settings. Consenting to text messages is not a condition of using Talvi or of any purchase.

Talvi may update these Terms periodically.

Continued use of Talvi after updates constitutes acceptance of revised Terms.

This section applies whenever you access Talvi as a vendor, contractor, technician, or other service provider — typically through a vendor portal invitation from a property management organization. It supplements the general account terms above.

1. Independent contractor; no Talvi engagement. You are engaged directly by the property manager or organization that invited you, not by Talvi. Talvi is not your employer, principal, agent, or a party to the service agreement between you and that organization, and does not direct, supervise, schedule, or guarantee any work. Nothing in these Terms creates an employment, partnership, joint-venture, or agency relationship between you and Talvi.
2. Licensing, insurance & qualifications. You are solely responsible for holding and maintaining all licenses, permits, certifications, bonding, and insurance required to perform your work, and for performing it lawfully, safely, and in a workmanlike manner. Talvi does not vet, credential, endorse, or background-check vendors, and makes no representation about any vendor's qualifications.
3. Accurate work-order updates. You will keep job status, notes, photos, completion records, and any other information you submit through Talvi accurate and current, and will not mark work complete that has not been performed. Managers and residents rely on these records.
4. Scoped access & confidentiality. Your access is limited to the jobs and buildings assigned to you. You will not access, attempt to access, or use platform data outside your assignments, and you will keep resident, building, and organization information confidential and use it only to perform the assigned work. Access may be revoked by the organization or Talvi at any time.
5. Payment for services. Compensation for your services is owed by, and arranged with, the engaging organization under your agreement with it. Where Talvi facilitates a charge or payout, it does so only as a software tool and is not the payer of, or responsible for, amounts owed to you. Talvi is not responsible for disputes between you and the organization over scope, quality, or payment.
6. Conduct on premises. When performing work you will comply with all applicable laws, building rules, and safety requirements, and you are responsible for your own conduct and that of your personnel. The prohibited-conduct and indemnification provisions of these Terms apply to your use of the platform.
